CommScope Commences Notes Offering

CommScope Holding Company, Inc. (NASDAQ: COMM) announced that its wholly owned subsidiary, CommScope, Inc., intends to offer $1.1 billion in aggregate principal amount of senior unsecured notes comprised of two tranches of $550 million each, subject to market conditions, to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and outside the United States in compliance with Regulation S under the Securities Act.

The notes will be fully and unconditionally guaranteed by the issuer’s U.S. restricted subsidiaries, subject to certain exceptions, but will not be guaranteed by the company. The issuer expects to use the net proceeds of this offering, together with cash on hand, to redeem the $1.1 billion outstanding aggregate principal amount of its 8.25% senior notes due 2019.

The notes will not be registered under the Securities Act, or any state securities laws, and may not be offered or sold in the United States absent registration, except pursuant to an exemption from the registration requirements of the Securities Act and applicable state securities laws.
