Amendment to Code - August 2005

On August 11, 2005, the Company's Board of Directors amended the Company's Code of Ethics for Principal Executive and Senior Financial and Accounting Officers (the "Code") to modify the scope of information concerning the design or operation of the Company's internal controls required to be reported by Senior Officers (as such term is defined in the Code) to the Audit Committee. The Code is available on the Company's website, www.commscope.com, under the tab "Integrity" and then under the heading "CommScope Code of Ethics for Principal Executive and Senior Financial and Accounting Officers."
